Standard Agreement
The short version
- No long-term contract: either side can end service with 30 days' written notice.
- Invoices are due within 30 days (net 30). Late payments can carry a charge of 1.5% per month, or the legal maximum if that's lower.
- Prices may change with 30 days' notice. Taxes and government-required charges are added to your bill and change when governments change them.
- Our support covers our phone service, not your network.
- California law applies, and disputes go to the courts in Sonoma County, California.
- Ask us for the full agreement. Districts can accept by purchase order or sign in their own system.
This summary is for convenience. The full text below is what applies.
1. About this page
This page summarizes key terms of Pylon’s standard customer agreement: our Master Services Agreement (MSA) and its Exhibit A price schedule. We’re updating the agreement to fit direct customers better, so we don’t post the full text here yet. Ask us for a copy, and ask us about any clause before you sign.
This summary is for convenience. The agreement you sign controls, and this page doesn’t change it.
2. Key terms
- No long-term contract. The agreement continues until either side ends it. Either side can end it with 30 days’ written notice, with or without a reason.
- Ending sooner. Either side can end the agreement if the other doesn’t fix a material breach within 30 days after written notice. We can also end it on written notice if invoices aren’t paid when due, and we can suspend or end service for fraud, illegal use or a violation of our Acceptable Use Policy. You can also end it right away in a few cases the agreement lists.
- After it ends. You pay for service provided up to the end date within 10 days after the agreement ends.
- Usage-based, itemized pricing. You pay for the phones, numbers and features you use, based on our price schedule and your order. See our pricing.
- Payment. Invoices are due within 30 days (net 30). An invoice may be sent up to 45 days before the service it covers. We accept ACH, wire transfer, credit card, check and electronic check.
- Late payments. If an invoice isn’t paid when due, a late charge of 1.5% per month (or the legal maximum, if that’s lower) applies, and we may ask for a deposit or prepayment.
- Price changes. We may change our prices with 30 days’ written notice. If you don’t want to continue at the new prices, you can end the agreement with 30 days’ notice.
- Taxes and government charges. You pay applicable taxes and government-required charges, such as Universal Service Fund contributions, in addition to the list prices in Exhibit A. Each one appears on its own line of your invoice. If a new surcharge or cost is required by law or regulation, the agreement lets rates change right away, without advance notice.
- Support. Our support covers the phone service we provide. Your own network isn’t covered; your team manages it. See our network requirements.
- Your account. You’re responsible for all usage on your account, including unauthorized or fraudulent calls, and for protecting your passwords and choosing your security settings.
- Warranties and liability. We pass manufacturers’ warranties on equipment through to you, and the agreement disclaims any other warranty it doesn’t state. Neither side is liable for indirect or consequential damages, or for more than the fees owed for the year before the event the claim is about, except for amounts you owe us for service.
- Law and courts. California law governs the agreement. Disputes go to the state and federal courts in Sonoma County, California. In a lawsuit about the agreement, the losing side pays the winner’s reasonable legal fees and court costs.
- Electronic signatures. Signatures delivered electronically, such as by email, have the same effect as original signatures.
3. Documents that go with the agreement
- Price schedule and orders. Exhibit A lists our prices. Order forms list what you’re buying, including any optional setup services and phones.
- 911/E911 Disclosure. Before service starts, an authorized person at your organization must acknowledge our 911/E911 Disclosure.
- Acceptable Use Policy. Our Acceptable Use Policy applies to everyone who uses our services.
4. Working with school districts and public agencies
We work with the way districts and public agencies buy. These are our practices, not legal advice. Your district’s policies and counsel decide what your district needs.
- Purchase orders. You can accept our quote with a purchase order. We’ll confirm with you how your purchase order and our agreement fit together.
- Your own signing system. If your district signs contracts in its own system, or under its own electronic signature policy, we’ll sign there. Signing electronically is always your choice.
- Board approval and ratification. Under California Education Code section 17604, a contract signed under delegated authority may need your board’s approval or ratification. Tell us your board meeting date. We’ll note that the agreement is pending ratification and plan the start date with you.
- Your district’s contract or addendum. If your district uses its own contract template or addendum, send it to us and we’ll review it.
